Terms And Conditions

Services Agreement

I. THE PARTIES. This Agreement, created on the ___ day of ___________ is by and between
Bookkeeping & Payroll Services Inc., hereinafter known as “Company”, and ____________
________________________ hereinafter known as “Client”, and severally and collectively
known as the “Party” or “Parties”.
WHEREAS this Agreement is created for the purpose of detailing the relationship between the
Parties, the Parties agree as follows:
II. TYPE OF AGREEMENT. This Agreement constitutes a services Agreement between the
Parties and incorporates a confidentiality and non-disclosure agreement.
III. RELATIONSHIP. The Company relationship to Client can be described as Financial
Services Provider and Client relationship to Company can be described as Client.
IV. DEFINITIONS.
(a) For the purposes of this Agreement, the term “Confidential Information” shall include, but
not be limited to, documents, records, information and data (whether verbal, electronic or
written), drawings, models, apparatus, sketches, designs, schedules, product plans,
marketing plans, technical procedures, manufacturing processes, analyses,
compilations, studies, software, prototypes, samples, formulas, methodologies,
formulations, product developments, patent applications, know-how, experimental
results, specifications and other business information, relating to the Client’s business,
assets, operations or contracts, furnished to the Company and/or Client’s affiliates,
employees, officers, owners, agents, consultants or representatives, in the course of
their work contemplated in this Agreement, regardless of whether such Confidential
Information has been expressly designated as confidential or proprietary. Confidential
Information also includes any and all, work products, studies and other material
prepared by or in the possession or control of Company, which contain, include, refer to
or otherwise reflect or are generated from any Confidential Information.
Confidential Information does not include:
i. Information generally available to the public,
ii. widely used programming practices or algorithms,
iii. information rightfully in the possession of the Companies prior to signing this
Agreement, and
iv. information independently developed without the use of any of the provided
Confidential Information.

(b) The obligations of the Parties shall be to hold and maintain the Confidential Information
in the strictest of confidence at all times and to their agents, employees, representatives,
affiliates, and any other individual or entity that is on a “need to know” basis. If any such
Confidential Information shall reach a third (3rd) party, or become public, all liability will
be on the Party that is responsible. Neither Party shall, without the written approval of
the other Party, publish, copy, or use the Confidential Information for their sole benefit.
V. COMPLETE UNDERSTANDING. This Agreement expresses the complete understanding of
the Parties with respect to the subject matter and supersedes all prior proposals, agreements,
representations, and understandings. This Agreement may not be amended except in writing
with the mutual consent of the Parties.
VI. CLIENT UPDATES. The provision of timely and accurate Client data is the responsibility of
the client. Should such information not be correct or current, Company use of use of such
information may be delayed beyond scheduled due dates or contain errors. Company shall be
held harmless for such delays or errors and Client shall be responsible for the payment of
additional Fees to correct such errors.
VII. COMMUNICATION. The Parties agree to discuss any matters, including disputes, and
reach mutual resolution without recourse to legal proceedings unless such resolution cannot be
reached between the Parties.
VIII. PAYMENTS. Invoices are due ______________________. Late payments by Client within
thirty (30) days of the invoice due date will incur a 15% late fee. Late payments by Client thirty
(30) or more days from the invoice due date will incur a late fee of 18%. Company is held
harmless.
IX. TERMINATION. Either party can cancel agreement at any time.

Statement of Work and Addendum to the Services Agreement between Company and

CLIENT OBLIGATIONS:
Client agrees to fulfill on the following obligations:
(a) Provision of accurate and timely data to Company in accordance with the deadlines
defined in the Fee Schedule.
(b) Payment of Fees by the due date as shown on the invoices from Company.
(c) The Parties agree to hold the Confidential Information in confidence until such
information no longer qualifies as a trade secret or written notice is given releasing the
Parties from this Agreement.

Fractional CFO $175/hour
Financial bookkeeping package:
• Review already entered transactions
• Reconcile accounts, (max accounts 3, additional accounts
are $100 each)
• Provide monthly reports
$375 per month
Essential bookkeeping package:
• Financial bookkeeping package:

Provide monthly reports)
• QuickBooks transfer
• Set up QuickBooks
• Enter transactions to accounts
• Business license renewal
$675 per month
Complete business support package:
• Financial bookkeeping package:

• Essential bookkeeping:
(QuickBooks transfer, Set up QuickBooks, Enter
transactions to accounts, Business license renewal)
• Sales tax filing (max 1 account)
$975 per month

Full-service businesses solutions package:
• Financial bookkeeping package:

Full-service Plus businesses solutions package:

$1,475 per month

Bookkeeping: $75/hr.
Business registration with a state: $350/business
Fill forms: $100/form
Ein creation: $100/business
FTB Revive: $350/business
Closing a business; $350/business
Irs, Ftb liens, Audits: $125/hr.
Individual tax return: $275-$375
Sole proprietors, Corporation tax return: $475-$675
Additional schedules: $200 each

Deposit of $____500.00_________ at the time of signing this agreement.
Payroll: (to keep account active for the month there is a fee of usual
processing)
Payroll tax letters are billable at $100 per form. If time exceeds 1 hr. it
will continue on the bookkeeping rate.
Setup fee: $250+

Weekly 1-15 employees 75
Bi-weekly/Bi-Monthly 1-15 employees $85
Monthly 1-15 employees $100
Per additional 1-5 employees rate will increase $10
